By using our Deely Notes service (the "Service"), you agree to these Terms of Service ("Terms").

1. Service Description

This website, "Deely Notes", provides a web application that generates structured notes (key points) from YouTube videos.

• You provide a link to a YouTube video.
• The Service automatically creates a text in the form of key points ("notes").

Users receive 2 free notes after registration. After using the free allowance, continued use of the Service requires a paid subscription.

Deely Notes provides a custom interface for processing video content using third-party AI models. The Service is an independent product and is not affiliated with, endorsed by, or sponsored by YouTube or any AI model providers.

2. Usage Rights and Restrictions

Permitted Use

• Personal learning and study purposes
• Business and professional knowledge management
• Export and storage of generated notes for personal use

Prohibited Use

You may NOT use our Service to:

• Generate notes from videos containing illegal or harmful, NSFW, sexually explicit, or pornographic content
• Violate YouTube's Terms of Service or third-party rights
• Attempt to reverse engineer or copy our Service
• Sell or redistribute generated notes without permission
• Use the Service in violation of any applicable laws or regulations

3. Payment

• Subscription Model: Users receive 2 free notes upon registration. After that, access requires a subscription of $40 USD per month (unlimited note generation during the subscription period).
• Cancellation: You may cancel your subscription at any time directly from your account. Upon cancellation, you will retain access to the Service until the end of the current billing period. No further charges will occur after cancellation.
• Payment Processing: Payments are securely handled by Creem as our authorized payment processor and Merchant of Record.
• Refunds: Customers may request a refund within 14 days of purchase, provided the service has not been used. In accordance with standard digital consumer laws, the right to a refund does not apply once you have started to transcribe video/audio files. By initiating a transcription, you acknowledge and agree that you lose your right to a refund for the current billing period, as the service is considered "consumed" upon the commencement of digital processing.
• Pricing Changes: We reserve the right to change subscription pricing with 30 days' notice. Existing subscribers will be notified via email prior to any changes.

4. Privacy and Data Handling

• We store only minimal account data required for login and subscription management.
• Billing information is handled securely by Creem.io.
• We may collect anonymous usage analytics to improve the Service.

5. Intellectual Property

• You retain rights to your generated notes.
• The underlying algorithms, design, and platform remain our property.
• You grant us permission to use anonymized examples for marketing purposes (without personal data).

6. Service Availability

• We aim for high availability but cannot guarantee uninterrupted operation.
• Maintenance and technical issues may cause temporary unavailability.
• We reserve the right to suspend or terminate access for violations of these Terms.

• Access to the Service requires account registration.
• Free notes are limited to 2 per account.
• After using free notes, continued access requires a paid subscription.
• We may refuse or terminate access for violations.

8. Service Disclaimer and Liability

Service Disclaimer

The Service is provided "as-is" and "as-available" without warranties of any kind. We do not guarantee that transcriptions will be 100% accurate, error-free, or suitable for any specific legal, medical, or professional purpose. Your use of the Service is at your own risk.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising out of or related to the Service shall not exceed the amount you actually paid for the Service during the billing period in which the issue occurred. We shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, business opportunities, or reputation
• Errors or inaccuracies in the generated text/transcriptions
• Issues arising from the availability or changes to third-party platforms (e.g., YouTube)

9. Indemnification

You agree to hold us harmless against claims or damages arising from:

• Your use of the Service
• The content processed through the Service (including YouTube videos provided by you)
• Violation of these Terms or third-party intellectual property rights

10. Technical Support

Support is provided only for critical website functionality issues (payment failures, refunds, service unavailability, etc.). For support inquiries, please contact us at support@deelynotes.com. While we strive to assist all users, we do not guarantee immediate support for non-critical inquiries or issues related to the quality of third-party content.

11. Changes to Terms

We may update these Terms at any time. Material changes will be announced with 30 days’ notice via email or a notice on the website. Continued use of the Service after such changes constitutes your acceptance of the updated Terms.
